1. Acceptance of Terms

By accessing or using the websites owned and operated by the Bureau of Integrated Facility Services LLC ("BIFS," "we," "us," or "our"), including bifscorp.com and bifsonline.com (collectively, the "Sites"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Sites.

These Terms apply to all visitors, users, clients, and others who access or use the Sites.

2. Description of Services

BIFS provides integrated facility operations, compliance intelligence, and related programs for commercial, industrial, and government properties. Our Sites provide information about our services, enable service inquiries and consultations, and give clients access to portals, reporting, and account management tools.

Service availability, scope, and pricing are subject to change. Specific service terms are governed by individual service agreements between BIFS and the client.

3. Eligibility

You must be at least 18 years of age and capable of entering into legally binding agreements to use our Sites and services. By using the Sites, you represent and warrant that you meet these requirements.

4. User Accounts and Access

Certain features of the Sites, such as the Client Portal, require account credentials. If you are provided with login credentials, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying BIFS immediately of any unauthorized use of your account

BIFS reserves the right to suspend or terminate account access at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

5. Acceptable Use

You agree not to use the Sites to:

• Violate any applicable federal, state, local, or international law or regulation
• Transmit any material that is unlawful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Sites, servers, or networks connected to the Sites
• Attempt to gain unauthorized access to any part of the Sites, accounts, or systems
• Use automated means (bots, scrapers, crawlers) to access the Sites without our written permission
• Collect or harvest personal information of other users
• Use the Sites for any commercial solicitation not authorized by BIFS

6. Intellectual Property

All content on the Sites — including text, graphics, logos, images, data compilations, software, and the overall design and layout — is the property of BIFS or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

The BIFS name, BIFS seal, "Bureau of Integrated Facility Services," and all related names, logos, product and service names, designs, and slogans are trademarks of BIFS. You may not use these marks without our prior written permission.

You may view and print pages from the Sites for your own personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Sites without our express written consent.

7. User Submissions

Any information, materials, or content you submit through the Sites — including consultation requests, work orders, feedback, and communications — may be used by BIFS for the purpose of delivering and improving our services.

You represent that you have the right to submit any information you provide and that such information is accurate and does not violate any third party's rights.

8. Disclaimers

THE SITES AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH THEM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

BIFS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BIFS does not warrant that the Sites will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Information provided on the Sites is for general informational purposes and does not constitute professional advice. Compliance information shared on the Sites does not replace consultation with qualified legal, regulatory, or industry professionals.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIFS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Sites
• Any conduct or content of any third party on the Sites
• Any content obtained from the Sites
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL BIFS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITES EXCEED THE AMOUNT YOU PAID TO BIFS, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless BIFS, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Sites, your violation of these Terms, or your violation of any rights of another party.

11. Third-Party Links and Services

The Sites may contain links to third-party websites, services, or content that are not owned or controlled by BIFS. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites.

Your use of third-party websites is at your own risk and subject to the terms and conditions of those sites.

12. Termination

We reserve the right to terminate or suspend your access to the Sites, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Sites ceases immediately.

Sections of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnification, and limitations of liability — shall survive termination.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Mateo County, California, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Modifications to Terms

BIFS reserves the right to modify these Terms at any time. When we make changes, we will revise the "Last Updated" date at the top of this page. Your continued use of the Sites after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically for any changes.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BIFS regarding your use of the Sites. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

Separate service agreements between BIFS and clients govern the delivery of facility services and are not superseded by these Terms.
